Terms and Conditions of Sale

These Terms and Conditions of Sale ("Terms") apply to all equipment, products, and services purchased from United Rack Solutions and outline key legal and commercial provisions. By placing an order, you agree to abide by these Terms in full. Please read them carefully before proceeding with any transaction.

1. Purchase Price and Payment Terms

Payment for all goods, equipment, and services must be made within 30 days of the invoice date, unless otherwise agreed in writing. Large or first orders may require a 30% down payment. Delayed payments are subject to a late fee of 1.5% per month or the maximum allowed by law. All payments received are applied to outstanding balances at the discretion of United Rack Solutions.

2. Taxes

The customer is responsible for all applicable sales, use, duties, permits, or other government-imposed fees, excluding our income tax.

3. Delivery and Force Majeure

  • All prices are F.O.B. shipping point unless agreed otherwise.
  • Shipping and delivery dates are approximate and subject to change.
  • United Rack Solutions is not responsible for carrier delays or damages after shipment leaves our facility.
  • Force majeure (e.g., fire, flood, strikes, acts of God, etc.) releases us from liability for delays or non-performance.

4. Change Orders

All changes to orders must be confirmed in writing. Any extra costs or schedule changes due to modifications are the customer's responsibility.

5. Acceptance

Orders are accepted only under these Terms and Conditions. Any additional or differing customer terms are expressly rejected.

6. Held Orders

If an order is held after manufacturing, it will be invoiced as of the hold date, and storage charges may apply.

7. Delays

United Rack Solutions is not liable for delays caused by events beyond its control. Goods stored at the request of the purchaser are at the purchaser's risk and expense.

8. Cancellations and Returns

  • Orders may not be cancelled or returned without written consent.
  • Authorized returns must bear an RGA# and may be subject to restocking fees.
  • Custom or special order products are non-returnable.

9. Confidential Engineering Data

Drawings, specifications, and engineering data remain the property of United Rack Solutions and must be kept confidential.

10. Warranty

  • We warrant that goods will be free from defects in workmanship and materials for 12 months from delivery or installation.
  • The warranty does not apply to products altered, combined with non-original parts, or subjected to misuse or improper installation.
  • Warranty service is provided upon written notice within 15 days of defect discovery.

11. Disclaimer of Other Warranties

All warranties not expressly stated are excluded, including implied warranties of merchantability or fitness for a particular purpose.

12. Limitation of Liability

We are not liable for consequential, special, or punitive damages, nor for claims exceeding the net purchase price of goods sold.

13. Disclaimer for Third-Party Design

United Rack Solutions is not responsible for verifying third-party engineering or design documents. Customer is responsible for ensuring such documents comply with all applicable laws and codes.

14. Risk of Loss & Insurance

Risk of loss passes to the customer upon delivery to site or carrier. The customer must maintain insurance coverage for goods on site until fully paid.

15. Compliance With Codes

Customer is responsible for compliance with all applicable government and industry codes and standards.

16. Equal Opportunity

United Rack Solutions does not discriminate in employment and complies with all relevant employment laws and regulations.

17. Liens & Security Interest

United Rack Solutions retains a security interest in all goods until payment is received in full.

18. Termination & Cancellation

If either party fails to comply with these terms, the agreement may be terminated with written notice. Customer cancellation may result in charges for work completed, direct liabilities, and profit loss.

19. Collection & Indemnification

If customer defaults, they are liable for collection costs and legal fees. Customer agrees to indemnify United Rack Solutions from any claims or liabilities arising from their own acts or omissions.

20. General Provisions

These terms represent the entire agreement. Any unenforceable provision shall be severed. No waiver is valid unless in writing. Assignment by the customer requires our written consent.

21. Notice

Official notices are considered given by fax, overnight courier, or registered mail, as specified in these terms.

22. Governing Law & Jurisdiction

This agreement is governed by the laws of the State of Pennsylvania, USA, and disputes will be settled in the courts of Pennsylvania.
